Strategy

A startup funding strategy for 2027 that starts with a milestone and ends with a fallback

Plan a startup funding strategy for 2027 in England using milestones, runway, route comparison, evidence, target research and fallback control.

A startup funding strategy explains what the money will prove, when it must arrive and which obligations the company can safely accept. It connects business delivery to cash rather than treating fundraising as a separate campaign. The plan also says what happens if the preferred route is late or unavailable.

This England-focused guide covers founder funds, customer finance, grants, debt and equity. It uses official information checked on 4 September 2026. Provider terms, scheme rules and company circumstances can change, so the draft remains general information rather than financial, investment, tax or legal advice.

What to take away

  • Write the next result that reduces uncertainty, give it a date and keep an evidence record.
  • Model base, slower-sales, funding-delay and no-funding cases, and set the cash floor at which the board must act.
  • Compare every route on amount, net proceeds, receipt date, cost, repayment, dilution, control and reporting.
  • Keep a funded and unfunded plan with an owner and trigger date, because starting late removes negotiating choice.

Start with a milestone

Write the next result that materially reduces uncertainty. It might be a working product tested with users, a completed technical stage, a regulatory step, reliable delivery or repeat customer revenue. Give it an owner, a date and an evidence record.

Milestone evidence record

  • Next result that reduces uncertainty
  • Give it a date
  • List activities and owners
  • List dependencies
  • Include full costssalaries, VAT, recruitment
  • Include insurance, legal, contingency

"Hire a team" describes spending. "Demonstrate repeatable installation at an agreed service level" describes what the spending should achieve. This distinction makes the amount easier to challenge and lets a board decide whether a smaller milestone is still useful. "Scale the business" names an ambition, not a result.

List the activities, owners, dependencies and full costs. Include costs that do not appear in a supplier quote, such as salaries, VAT, recruitment, insurance, legal work, project contribution and contingency.

Build runway from company records

Begin with reconciled cash, committed payments and realistic receipts. Model each month until the milestone and for a period afterwards. Do not count an unsigned customer order, unapproved grant or investor conversation as available cash.

Runway and fundraising deadline

Reconcile cash, committed payments, realistic receipts
  2. Each month
    Model until milestone and afterwards
  3. Before cash floor
    Fundraising deadline
  4. At cash floor
    Board must act

Create base, slower-sales, funding-delay and no-funding cases. State the cash floor at which the board must act. The fundraising deadline must come before that floor because diligence, contracting, conditions and bank clearance take time. Record minimum, target and maximum amounts for the milestone, and set the decision date before the cash floor.

The British Business Bank's Small Business Finance Markets 2025/26 report describes the wider UK finance environment. Use its definitions for market context, but calculate runway from the company's own records.

Compare the funding routes

Business.gov.uk's funding-options guide introduces self-funding, loans, grants and equity. A strategy should then compare actual routes on the same basis: amount, net proceeds, receipt date, transaction cost, repayment, dilution, control, permitted use, reporting and downside.

Founder savings can move quickly after proper documentation but concentrate personal loss. Customer deposits and paid pilots test demand while creating delivery and refund duties. Set a personal limit and keep company funds distinct from household money.

Grants may support a defined project without issuing shares. They can restrict applicant, activity, geography, date and cost. Search Find a grant and the government's business support finder, then open the live opportunity and agreement. Model any contribution and reimbursement delay.

Innovate UK Smart Grants competitions follow a seasonal pattern, with rounds typically closing in spring and autumn. Each notice sets the project size, eligible costs and closing date. Rounds are published year by year, so the 2027 notices, not last year's dates, are the ones to plan against.

Debt preserves ownership while creating fees, interest and scheduled repayment. Examine total repayable, security, personal guarantees, covenants, conditions and the slower-revenue case. A quick decision is not useful if the repayment profile breaks runway.

Start Up Loans, delivered through the British Business Bank, lend £500 to £25,000 per founder and up to £100,000 per business, with repayment over one to five years and a personal guarantee. Check the rate and terms the scheme publishes, and treat the guarantee as a real obligation.

Angel or venture equity can finance uncertain growth without fixed repayment. Founders issue ownership and may accept investor rights, board involvement and future return expectations. Check whether the company's likely outcome fits the investor's model before beginning a long process.

Net proceeds

Start Up Loans
Loan amount less interest paid over the term
SEIS or EIS equity
Subscription less fees and professional costs
Grant
Agreed project costs less any contribution, paid in arrears

Typical timing

Weeks to a few months
SEIS or EIS equity
Months, once assurance and investors are ready
Grant
Months, set by the competition timetable

Dilution

Start Up Loans

SEIS or EIS equity
Ownership falls as shares are issued
Grant

The timing column is typical, and the route's own documents govern the rest.

Treat EIS and SEIS carefully

HMRC's EIS and SEIS statistics for 2026 report activity within two tax-advantaged schemes. The release says 3,735 companies raised £1.575 billion under EIS and 2,430 raised £276 million under SEIS in 2024 to 2025.

EIS and SEIS activity 2024-25

  • 3,735companies raised under EIS
  • £1.575bnraised under EIS
  • 2,430companies raised under SEIS
  • £276mraised under SEIS

Those UK totals are neither an investor directory nor proof that a transaction qualifies. Advance assurance does not commit capital. Company, trade, age, asset, investment and use-of-money conditions require current professional review, and later actions can matter.

For SEIS, gross assets must be no more than £350,000 before the share issue and the company must have fewer than 25 employees. The lifetime SEIS limit is £250,000, and shares must be issued within three years of the first commercial sale. SEIS investor relief is 50% on up to £200,000 in a tax year.

For EIS, gross assets must be no more than £15 million before the share issue and £16 million immediately after. The employee limit is 250, and the lifetime investment limit is £12 million, with £5 million in any year.

Knowledge-intensive companies have a higher employee limit and higher investment limits. Shares must be issued within seven years of the first commercial sale. EIS investor relief is 30% on up to £1 million in a tax year, or £2 million where at least £1 million goes into SEIS shares.

These limits change with Finance Acts, so check HMRC guidance for the year of the investment.

Do not promise relief in a deck or advert. State what has been obtained, identify its limits and keep the supporting correspondence with the transaction file.

Prepare evidence before outreach

Reconcile the legal name, company number, registered office, shareholders, options and convertible instruments. Compare the cap table with filings and statutory records. Organise accounts, management information, tax records, contracts, intellectual property, employment documents and material disputes.

Evidence before outreach

  • Reconcile legal name and company number
  • Compare cap table with filings
  • Organise accounts and tax records
  • Organise contracts and IP documents
  • Class every numberhistoric, contracted, pipeline, forecast
  • Keep a correction log

Every number in an application or pitch needs a class: historic, contracted, pipeline, forecast or external estimate. Add source, period, geography and method to market figures. Keep a correction log when a figure changes.

Use controlled data-room access. Share only what the stage needs, verify recipients and remove access when a process ends. Confidentiality does not excuse hiding a fact that a funder is entitled to examine.

Build targets from evidence

Target research by route

  • Granteligibility, project fit, eligible cost, deadline
  • Debtproduct, lender, amount, term, price, security
  • Investorstage, sector, cheque range, geography
  • Investorlead preference, reserves, recent deals
  • Record source date and contact route
  • Remove stale or mismatched entries

An announced mandate is evidence of stated interest, not evidence that money will be offered. The British Business Bank's Equity Tracker 2026 announcement also cautions, through its regional findings, that a few large deals can move total investment sharply.

Rank a manageable target set. Record why each target fits, the source date, contact route, information sent, response and next action. Remove stale or mismatched entries instead of inflating outreach totals.

Plan the process in stages

Separate preparation, first contact, application, assessment, diligence, negotiation, documents, conditions and cash receipt. Assign internal owners and expected dates. Continue serving customers and managing costs during the process.

Test the pitch and model with someone who did not create them. Ask the reviewer to explain the milestone, cash need, ownership, risks and fallback. If the account differs between the deck and model, correct it before approaching another party.

Send outreach in small groups so recurring questions can improve the material. Adapt emphasis to the recipient without changing facts.

Set negotiation limits in advance

Agree acceptable positions on valuation, dilution, option pool, governance, information rights, security, guarantee, covenant, exclusivity and timing. Model ownership or repayment after the proposed offer and again under a future funding case.

Record the refusal rules beside the acceptable positions, so an offer arriving late is judged against the agreed limits rather than the pressure of the moment.

Compare net cash after immediate fees and conditions. A large headline amount may arrive in tranches or depend on milestones. A term sheet may be non-binding and can still leave material work before completion.

Obtain relevant qualified advice before accepting regulated, investment, tax or legal terms. Record conflicts and related-party interests in the board process.

Keep a funded and unfunded plan

The fallback may reduce cost, use customer revenue, delay a hire, narrow the milestone or switch route. Give it an owner and trigger date. Starting it after cash is nearly exhausted removes negotiating choice and can endanger delivery.

Review cash and process stages each week. Distinguish a discussion, data request, draft offer, signed agreement and cleared receipt. Update assumptions without deleting the earlier version.

If partial funding arrives, rewrite the activities and evidence expected from the smaller amount. Do not keep a full plan with an underfunded budget and hope the gap disappears.

Measure the strategy without mistaking activity for success

Monitor measures that show whether the company is learning and moving through a real process. Useful records include verified targets, suitable applications, diligence opened, material questions resolved, proposals received, net funds contracted and cash cleared. Keep rejection reasons where the counterparty supplies them, but do not invent a reason from silence.

Fundraising hours, emails and meetings describe effort. They do not show that the route fits or that a close is likely. Review the ratio of qualified progress to management time and reduce low-fit outreach if it distracts from customers or delivery.

After the process, compare forecast and actual dates, fees, professional time, conditions and proceeds. Record which evidence was requested late and which assumption proved weak. Use that review to improve governance and the next funding decision, not to rewrite the history of the round.

If the company decides not to raise, document the same outcome. A disciplined decision to continue from revenue, shrink the milestone or pause work can be a valid result of the strategy.

The 2027 strategy record

Keep one controlled pack containing the milestone, monthly model, route comparison, evidence register, target list, process tracker, negotiation limits, advice and fallback. Add the source date for every external figure and the version sent to each counterparty.

Before publication or use, reopen market reports, funding schemes and provider terms. Assign a named author and fact-checker. Arrange qualified financial, tax and legal review where the content touches those decisions.

This pillar draft contains no live internal links and remains on editorial hold until those gates are complete.

Before you act

  • Write the milestone with a date and evidence record.
  • Reconcile cash, committed payments and realistic receipts.
  • Set the cash floor and fundraising deadline before it.
  • Compare routes on net proceeds and obligations.
  • Prepare cap table, accounts and contracts before outreach.
  • Agree negotiation limits and a fallback trigger date.

Common questions

What should the milestone describe?

It should describe the next result that materially reduces uncertainty, such as a tested product, a completed technical stage, a regulatory step, reliable delivery or repeat customer revenue. Give it a date and an evidence record. Hiring a team describes spending, not what the spending should achieve.

How should grants and debt be compared with equity?

Compare actual routes on the same basis: amount, net proceeds, receipt date, transaction cost, repayment, dilution, control, permitted use, reporting and downside. Grants may restrict applicant, activity, geography, date and cost. Debt preserves ownership but creates fees, interest and scheduled repayment. Equity issues ownership and may bring investor rights.

What does the EIS and SEIS data show?

HMRC's 2026 statistics report 3,735 companies raised 1.575 billion pounds under EIS and 2,430 raised 276 million pounds under SEIS in 2024 to 2025. Those UK totals are neither an investor directory nor proof that a transaction qualifies. Advance assurance does not commit capital, and conditions need current professional review.
