Startup funding rules and ethics: an England checklist
Use this startup funding rules and ethics checklist for England to review UK promotions, EIS and SEIS claims, company records, data protection and contracts.
Startup funding compliance covers startup funding rules and ethics that can apply before money changes hands. A deck, investor email, social post, adviser introduction or data-room invitation can create duties depending on its content, purpose, audience and sender. Company records, tax statements, personal data and contracts need separate checks.
This guide is for companies based in England and uses official UK sources checked on 4 September 2026. It cannot decide whether a communication is a financial promotion, an activity is regulated or an exemption applies. Those questions require current, fact-specific professional advice.
What to take away
- Compliance duties can start before money moves, so review decks, emails and posts for financial-promotion scope.
- An FCA warning or disclaimer does not turn an unlawful communication into a lawful one.
- EIS and SEIS statistics show scheme activity, not that a particular company or share issue qualifies.
- Reconcile cap table, articles, filings and pitch so share counts and classes match or differences are explained.
- Map funding-room personal data, decide controller and processor roles, and use staged access with expiry.
Build a compliance map
List the company, directors, shareholders, prospective investors, lender, platform, adviser, introducer, promoter and approval firm. Record what each party does, how it is paid and which information it receives.
Compliance map owners and records
- List every party and their role
- Record payment and information flow
- Map each channel, audience, date, version
- Assign legal, tax, finance, data owners
- Name one coordinator for release gate
Map the funding route and every communication. Include websites, decks, emails, direct messages, webinars, events, video, downloadable documents and spoken scripts. Save the audience, channel, date and version. A private link can still reach many people, while a public page may contain only general company information. The substance matters.
Assign owners for legal, regulatory, tax, finance, advertising and data-protection review. One coordinator should hold the release gate, but specialist questions must stay with qualified reviewers.
Assess financial-promotion scope
Section 21 of the Financial Services and Markets Act 2000 restricts certain invitations or inducements to engage in investment activity. The FCA's PERG 8 chapter explains the restriction, its application and principal exemptions.
Is the communication restricted?
Is it an invitation or inducement to invest?
Section 21 restriction may apply
Record the assessment and move on
Do not treat this short description as a test. Whether wording is an invitation or inducement, whether it is made in the course of business, who communicates it and whether an exemption applies are legal questions tied to facts.
Record the review for the final communication and intended recipients. If relying on an exemption, keep evidence that its conditions are satisfied. Do not ask a person to select an investor label merely to gain access. A warning or disclaimer does not transform an unlawful communication into a lawful one.
Where an authorised person approves material, verify the entity and relevant permission using the FCA Register. Confirm that it reviewed the exact final version and remains responsible for the approval required. Later edits, new formats or a different audience can need another assessment.
Review platforms, advisers and introducers
A platform may arrange investment, communicate promotions, hold information or provide other services. An adviser can prepare a deck, make introductions, negotiate or recommend. Describe actual activities before considering regulatory status.
Check legal entity, FCA status, permissions, appointed-representative relationship and contractual role. Registration is not a general quality badge. It does not mean every activity of a firm or group company is regulated.
Document fees, success events, commissions, tail periods and conflicts. A referral payment can influence a recommendation even where it is contractually permitted. Tell the company and affected audience who pays and when.
Apply advertising rules to the whole journey
The CAP Code financial-products section addresses understandable offers, material limitations and charges, projection bases, variable investment values and use of past performance. The CAP Code on misleading advertising covers substantiation, omissions and qualifications across non-broadcast marketing.
Review the first impression and detail together. A risk statement hidden several clicks away may not correct a confident headline. Test mobile displays, social previews, captions, short video and downloaded decks.
Classify claims as historic fact, signed contract, pipeline, forecast, external estimate or opinion. Give projections their basis. State the measurement period and geography for market figures. Avoid unqualified words such as guaranteed, approved or secure where the evidence supports something narrower.
The FCA's social-media financial-promotions guidance covers communications by firms and their affiliates or influencers. Give promoters controlled material, monitor its use and provide a prompt withdrawal route.
Describe investment risk fairly
A startup can fail and an investor can lose the money invested. Shares may be illiquid, further rounds can dilute ownership and an exit may not happen. The specific risk statement and any required wording need professional review for the investment and audience.
Present benefits and risks in a balanced, understandable way. Explain material conditions, charges and limitations with enough prominence. Do not select favourable historical examples without the context needed to interpret them.
Archive the source for every performance or market statement. Set review dates and stop distribution when a statistic, risk or term changes.
Review EIS and SEIS claims carefully
HMRC's EIS and SEIS statistics for 2026 report activity under defined tax schemes. They are not evidence that a particular company, share issue or investor will qualify.
State whether advance assurance was sought or received, its date and scope. Explain that it does not commit an investor. Obtain tax and legal review of company, trade, age, asset, investment and use-of-money conditions, as well as the transaction and later compliance steps.
Do not quote tax relief as a certain return or imply HMRC endorsement of the investment. Correct material if the transaction changes from the facts reviewed.
Keep ownership and authority records consistent
Before the round, reconcile the company's legal name, registered office, directors, persons with significant control, shareholders, option grants, convertible instruments and statutory books. Check public records through Companies House, while recognising that filed information does not replace the company's own records or legal analysis.
Document board and shareholder approvals. Identify conflicts and related parties. Make sure the cap table, articles, agreements, filings and pitch use the same share counts and classes or explain legitimate differences.
After completion, assign owners for filings, certificates, registers, investor information and contractual deadlines. A solicitor's closing email should not be the only operational record.
Protect funding data
A funding room may contain personal data about founders, employees, investors, customers and advisers. Map each field, source, purpose, recipient, retention and security control. Determine who acts as controller, joint controller or processor from what they actually decide and do.
The ICO's controllers and processors guidance explains those roles. Its wider UK GDPR guidance covers principles, lawful bases, transparency, rights, security and accountability.
Use staged access, named accounts and expiry. Redact irrelevant personal data, remove former recipients and track downloads where appropriate. Review suppliers, sub-processors, international transfers, deletion and incident duties.
Investor outreach can also engage direct-marketing rules. Consult the ICO's direct marketing guidance before using bought, scraped or third-party contact data and before sending electronic communications.
Negotiate and disclose contracts properly
Funding documents may cover investment or loan economics, conditions, warranties, disclosure, governance, transfers, security, information rights, confidentiality, disputes and exit. Review the pack as a system because a corrected number in one document can leave another inconsistent.
Prepare specific disclosure against warranties with an English solicitor. A general upload of thousands of files may not explain a known issue clearly. Version the disclosure letter and link each exception to evidence.
For adviser and introducer contracts, define scope, fees, expenses, success event, tail, conflict, confidentiality, data use, termination and complaints. Confirm what happens if several parties claim credit for the same funding.
Do not sign with blanks or unresolved schedules. Check authority, final versions, conditions and the cash that will actually clear.
Add an ethical standard above the legal floor
Do not fabricate customers, investor interest, grant eligibility, approvals or urgency. Do not hide a founder dispute because it is uncomfortable or pressure people to self-certify for access. Avoid sending personal documents earlier than the decision requires.
Tell investors and founders when content is sponsored, an adviser earns a referral fee or a comparison omits providers. Correct mistakes promptly and preserve what changed. A legal route to make a claim is not a reason to make it if the message is likely to mislead its intended reader.
Operate a release and correction gate
Before distribution, collect the regulatory analysis, advertising evidence, tax review, privacy assessment, board authority and final contract or offer facts. Record the versions and dates covered. Test the journey on the actual channel.
After release, monitor changed landing pages, comments, affiliates and expired claims. Stop a campaign when a material fact changes. Assess recipients, issue a clear correction and keep the earlier version rather than silently rewriting history.
Repeat the gate for a new audience, channel, investment structure or material edit. Reopen official sources on publication day and retain qualified advice in the transaction record.
Before you act
- Map every funding communication, channel, audience, date and version.
- Check FCA Register status and permissions before relying on an approver.
- Archive the source for each performance or market claim.
- State advance assurance date and scope, and that it does not commit an investor.
- Reconcile statutory books, cap table, articles and filings before the round.
- Define scope, fees, success event, tail and data use in introducer contracts.
Common questions
When does a startup communication become a financial promotion?
Section 21 of the Financial Services and Markets Act 2000 restricts certain invitations or inducements to engage in investment activity. The FCA PERG 8 chapter explains the restriction and its principal exemptions. Whether wording is an invitation, whether it is in the course of business and whether an exemption applies are fact-specific legal questions, so take professional advice.
Can a disclaimer make a promotion compliant?
No. The article states that a warning or disclaimer does not transform an unlawful communication into a lawful one. Review the first impression and detail together, because a risk statement hidden several clicks away may not correct a confident headline. Record the review for the final communication and intended recipients.
What should a company check about EIS or SEIS claims?
State whether advance assurance was sought or received, its date and scope, and explain that it does not commit an investor. Obtain tax and legal review of company, trade, age, asset, investment and use-of-money conditions. Do not quote tax relief as a certain return or imply HMRC endorsement of the investment.
